How to Terminate the Real Estate Contract | Company And Business ...

A real estate sale is usually initiated by an offer from the buyer to the seller, written on a real estate contract form, and backed by a monetary deposit. If the seller accepts the offer, the buyer and the seller are bound by a legally binding contract. While the forms vary by locality, the essential terms include the offer amount, legal description, names of the parties, and date of closing. In addition to these terms, the contract interweaves numerous contingencies, disclosures of information, and procedures that dictate responsibilities of buyer and seller. The contract is the road map that takes you all the way through to closing. It is very important to understand its terms and follow them carefully. If it becomes necessary to terminate the contract, your close adherence to contract terms and procedures is critical.

Loan Contingency

Your contract may contain a provision that the buyer must be approved for a specific mortgage loan and interest rate. If the mortgage cannot be obtained within the prescribed time, the buyer may terminate the contract and receive a refund of deposit. If it becomes necessary to terminate under this contingency, you should be prepared to document that you took prompt action to obtain the loan, received a written rejection, and gave notice to the seller within the time limit set by the contract.

Termination based on credit disapproval is likely to cause anger and disappointment on the part of the seller. The seller may feel that he has been misled into signing a contract with an unqualified buyer. When anger and strong emotions enter into the transaction they may lead to difficulty in resolving the termination.

Title and Survey Review

Contracts usually provide a title review period for the buyer. The buyer may object in writing to defects noted in the title documents. If title defects cannot be cured, you have the right to terminate.

In the same vein, the buyer usually has the right to review a survey of the property. If construction is found to overlap building lines, or if there are encroachments on the property, you may choose to terminate your contract.
It is worthwhile to promptly consult an attorney if you have some concerns about the title documents or survey. Your objection to title or survey problems must be made in writing within the time frame allowed by the contract.

Review of Seller?s Disclosure

In Texas, sellers (with some exceptions) are required by law to provide a seller?s disclosure notice to the buyer. On this form, the seller answers questions and provides information about the property. If the buyer receives the form after the contract has been created, he may terminate the contract within a certain number of days after receiving the seller?s disclosure. The receipt date of the disclosure should be documented in order to establish the start date of the review period. Be careful to avoid confusion about when a time period starts running.

Mandatory HOA Review

In areas where there is a mandatory homeowners association, the Texas contract allows the buyer a period of time to review Subdivision Information. This information is normally supplied by the HOA manager after the contract is created. After receipt, the buyer has the right to review the documents, and possibly terminate the contract. Again, the termination notice must be given within the time limits in the contract.

Inspection Contingency

Contract procedures to allow the buyer to conduct inspections of the property vary from region to region. In some areas, the buyer may terminate if repairs exceed a pre-agreed dollar amount, and seller declines to make the additional repairs. In Texas, the buyer is allowed an ?option period,? during which time he has the unrestricted right to terminate the contract. Inspections are done within the option period.

Inspection issues are the most common reason for contract termination. During the inspection period, there is usually some re-negotiation of the price or terms in order to resolve repair issues that have been brought up by inspections. It is crucial to get inspections done, deliver repair requests, and negotiate contract amendments, or, if necessary, terminate the contract, all within the time guidelines set by the contract.

Contingency for Sale of Other Property

In some cases the buyer may have a contingency for the sale of a certain property, usually the buyer?s current home. If this property does not close by a certain date, the buyer may have to terminate. As with other termination procedures, giving notice to the seller within the required time is critical. By allowing this type of contingency the seller has accepted the risk that the contract may not close.

Lead Paint Contingency

Federal law requires that sellers of homes built prior to 1978 notify the buyer of any knowledge or inspections that they may have regarding lead paint. The buyers are allowed a period of time to review materials and conduct their own inspections. If lead paint is found, the buyer may terminate the contract within the prescribed time frame.

Finalizing Termination

We have touched on the most common termination clauses in standard real estate contracts in Texas. Contracts used in other states, or provided by builders for new homes, or written by an attorney for a particular transaction will vary greatly in the contingencies and terminations clauses included. In addition, there may be ways to terminate your particular contract, other than through contingency clauses.

The important thing to remember is that the contract of sale is of primary importance to the real estate transaction. If you follow the terms of the contract and act within time limits, you may exercise the termination rights that the contract contains. If you fail to follow the terms, most contracts state that you have waived the right to terminate.

After you have given the seller notice of termination, two closely related steps must follow: The parties must formally terminate the contract, and the earnest money deposit must be released. If the buyer and seller agree to the termination, their agreement is usually formalized by signing a termination form. In Texas we have an ?earnest money release? form that handles both steps ? it releases the parties from further obligations under the contract, and instructs the escrow company to give the deposit to one party or the other. It is usually in the best interest of all parties to resolve the earnest money and contract termination issues as soon as possible.

If the buyer and seller cannot agree that the contract is terminated, the matter could lead to prolonged negotiation and possibly, litigation. In most cases, it is in the seller?s best interest to have formal termination of the contract, freeing him to put the property back on the market. However, occasionally, even when it is clear that the buyer has followed contract procedures, the seller may prolong the formal termination process. The seller may want to receive compensation from the buyer for the delay in selling the property. Buyer and seller may have conflicting points of view of the issue. The non- settlement of termination issues can result in additional time and money, and cause unwanted stress.

Most buyers do not enter a real estate contract with the intention of terminating. However, buyers must not take for granted that all will go as expected. If a contingency date lapses, you will lose the benefit and protection of the contingency. A good Realtor, in addition to helping you find the property, can be invaluable in helping you to meet your obligations under the contract and, if necessary, exercise your right to terminate.

Kanye West Tops The-Dream's Hottest MC List

Jay-Z is 'so far up there it's almost a discredit putting him on the list,' The-Dream tells 'RapFix Live.'

When MTV News crowned Rick Ross the #1 Hottest MC in the Game, the entire hip-hop community seemed to take notice. The-Dream, who worked with a number of the artists on our Hottest list, including Big Sean, Drake and Jay-Z, has his own pick and revealed to "RapFix Live" who he believed should've taken the #1 spot.

"The top MC in the game to me is Kanye," he said.

Last year Yeezy dropped the groundbreaking tag-team album Watch the Throne with 16-year rap veteran Jay-Z. For The-Dream, it's hard to judge Hov simply because he has done too much in his career. So if it were up to the Atlanta-based singer/songwriter, he'd leave the God MC out of the debate entirely. "Jay shouldn't even be on the list anymore," The-Dream argued. "He's so far up there that it's almost a discredit putting him on the list. He's never gonna be judged the same."

The term "hot" is a relative one, and according to The-Dream, the heat index can change quickly. "That list is gonna keep fluctuating, but I think it's a disservice to what Jay has done to even put him on that list period," he said. "If he was a new rapper, right now, he'd be #1 on the list."

With Hov taken out of the discussion, the self-proclaimed Radio Killa, who also wrote on 'Ye's "All of the Lights," sees his pal Kanye at the top of the game at the moment, but it's close; he also believes Lil Wayne has a case as well.

"I think Wayne and Kanye kinda go back and forth, it just depends on when Wayne's up for it, I think. When you push him and he's up for it musically he's great," The-Dream said. "Then there is certain points ... they're pushing each other and then Kanye goes. There's something musically I can tell when somebody has an edge on someone else."

PIMCO founder and co-CIO Bill Gross spoke with Bloomberg Television's Trish Regan, Lisa Murphy and Adam Johnson today about where to invest, the ETF PIMCO is launching next week and the state of the economy.

Gross said that investing in "mortgages make sense" as "yields are not going anywhere for the next two or three years."

Gross on whether investors should be looking at mortgages:

"Sure. An agency mortgage, even a non-agency mortgage, but let's stick to agencies and Fannie and Freddie, they yield 1% to 1.5% to 2% more than those similar average life Treasuries. If you have an environment where interest rates will not change, and that is the key. Is Bernanke good to his promise? If they do not change, you would prefer to have a 1.5% higher yield, a 3% to 3.5% yield as opposed to a 2%. I think mortgages makes sense. The extension of risk adding to high-yield is another situation that is similar to the equity argument that I just made. Yes, you get a higher yield, but you are principle at risk. As you get older and more fixed- income oriented then perhaps you want to stick to something safer."

On why PIMCO is announcing a new ETF next week that will mimic the Total Return Fund:

"That is a complicated answer, but technically the fees are the expenses on an annual basis are less on the Total Return Fund that now exists versus the ETF. There will be a slight difference, but of course you don't pay the all-in retail fees and you could make the argument that it's a lot cheaper as an alternative. The ETF is limited to the extent it can't use futures and optional types of securities that have been successful with the Total Return Fund. Basically they will be the same. We are excited to provide the same types of returns for that ETF as we do for the Total Return Fund and allow individual investors to buy it on the New York Stock Exchange. We do not suggest they trade it, but we think they can buy it at 10:30 in the morning, as opposed to the market closing and have a great longer-term performance record."

Gross on whether the economy and investing environment has improved:

"I think they are. We should analyze why. I think that is always difficult, but I think in this case with central banks writing checks in the hundreds of billions, and yes we're doing that with our Operation Twist, and the ECB is doing that with LTROs, and Japan has stepped it up, and China has been writing checks in terms of increasing their monetary base. There has been a huge flush of money into global markets and ultimately into global economies. You would expect that to happen. That does not mean that is the solution, or the forever solution, but certainly temporarily it has helped to support the economy, and therefore financial markets."

On whether he's changed his position in U.S. Treasuries:

"I do not think so. It is important to recognize, as we a tried to recognize at PIMCO for the past several quarters and past several years, that there are negative repercussions to writing checks and printing money. It is not just inflationary. To the extent that zero-based money that we have here in the United States, that we're seeing in the U.K. and close to that in euro land, it begins to reap some unexpected havoc in terms of the real economy as well. Financial institutions like banks and insurance companies start to close branch offices and lay off people simply because the cost of money does not support the prior economic activity that historically has been the example."

On whether Bernanke's promise to keep low interest rates through 2014 is distorting the bond market:

"I think it does. There is no doubt. It's something to be reckoned with. You don't want to fight the Fed, as they say. To the extent that yes, they have conditionally promised to keep interest rates low, in Bernanke's vernacular that basically means 25 basis points for the next three years or so, then that produces an artificially to interest rates. There is no doubt that real interest rates now certainly from the standpoint of the policy rate and even from the standpoint of five-year tip, for instance, an inflation protected security at a -1.25% relative to historical parameters, that is 1-2%, maybe even 3% lower than they should be. Yes, Treasury yields are artificially suppressed."

On whether he still wants to be in Treasuries:

"You do from the standpoint of recognizing the Fed is good to its promise, and that is something to consider, but if Fed is good to the promise, then interest rates are not going anywhere for the next two-three years, and there is a 3% yield from a longer-term Treasury and 2% yield from intermediate-term Treasuries. Does that represent value? Not really. Certainly the saver and the investors being short-circuited, haircutted, based upon historical terms. If in fact the price of the securities cannot go down very much if the Fed holds to its promise, that is if it keeps interest rates low, then 2% is better than nothing. Put it that way"

On Leon Cooperman telling Bloomberg TV yesterday that the return on bonds is not worth owning them:

"I do not argue against that, and Mr. Cooperman has a decent argument. I just argued that in terms of confiscation of capital. There are several reasons to be cautious, however. One, comparing Treasury yields to corporate stock dividends spans a huge gap of risk. AAA for Treasuries and an implied B AA and lower for subordinated stocks as an investment instruments. Secondly, stocks can go down, too, just like bonds. We certainly saw that in 2008. Third, demographically, boomers prefer certainty as opposed to speculative capital gains, so there's an element to that."

On why Ford is shifting billions of dollars a year from their equity portfolio into bonds:

"They're doing that because of the certainty, locking in their liabilities relative to their assets. Even at a low, 2-3% rate. Boomers, from the standpoint of individual investors, are the same way. They're beginning to get older and require more certainty. Do they find appeal in a Johnson and Johnson at 3.5% dividend yield with growth potential? Sure they do, but they also believe they want that money back, and if there is a 2008-2009 scenario, perhaps they won't. So there are demographic tradeoffs here that have to be considered."

It?s been said and proven that pets reduce stress. I can totally attest to that. Just look at how adorably snobbish Tony is. LOL~ He?s one of the most spoiled cats I know and one of the most stubborn too. I wonder where he gets it from.

I spotted him chilling at the veranda so I decided to intrude.

He didn?t look too happy to see me.

Israeli diplomats in India have been on constant alert since Pakistan-based militants rampaged across the Indian city of Mumbai in 2008, attacking luxury hotels, the main train station and killing six people in the Chabad Jewish community center.

India's foreign minister, S.M. Krishna, said India would cooperate closely with Israel in the investigation and promised to bring the assailants to justice.

Iran: Nuclear facilities immune to cyber attack

"I have just spoken to the Israeli foreign minister," he said. "I assured him that the law of the land will take its course."

U.S. Secretary of State Hillary Rodham Clinton condemned the attacks.

Georgia attack
Authorities in the former Soviet republic of Georgia said an explosive device was planted on the car of a driver for the Israeli Embassy.

Shota Utiashvili, spokesman for the Georgian Interior Ministry, said the driver noticed a package attached to his car's undercarriage and called police.

Police found a grenade in the package and it was defused, Utiashvili said.

In what appeared to be a precautionary move, the Israeli ambassador to Egypt was held in the VIP lounge at Cairo's airport for four hours while police dogs sniffed two embassy cars waiting for him. He later left for home under tight security, and the lounge was thoroughly searched by police.

Israel, like the West, accuses Iran of pursuing nuclear weapons and has urged the international community to consider all means, including military action, to stop Tehran. Iran says its nuclear program is for peaceful purposes only.

Last month, a director of Iran's main uranium enrichment site was killed in a blast from a magnetic bomb placed on his car. The official, Mostafa Ahmadi Roshan, was at least the fifth member of Iran's scientific community killed in apparent targeted attacks in the past two years.

I?m the mother of a 17-year-old girl who recently came home to tell me that her best friend, a girl we?ve known since the girls were in middle school, who often spends weekends at our house, just discovered that she?s pregnant and is keeping the child. My brain instinctively decided that the girl would no longer be welcome in our home. However, I gave it further thought and had some frank talk with my daughter, who refuses to end the friendship because, as she says, ?Everyone else has ditched her, what kind of friend does that??

H. backed off on her initial protective reaction, and chose to join her daughter in supporting the friend. ?She?s not walking an easy path and I respect my daughter more for choosing friendship over opinions that don?t matter.? But H. is still worried about the impact the friend?s pregnancy will have on her family:

The sticky issue is twofold: 1) What do we say when the local gossip mill suggests our daughter is next, as if teenage pregnancy is catching? (Our daughter has already expressed her irritation with her friend?s lack of sense regarding safe sex.) 2) How do we broach to our younger daughters (ages 12 and 14) that it?s not nearly as ?cute? as they seem to think it is?

Obama call for manufacturing revival a tough goal

WASHINGTON (AP) ? President Barack Obama is making a strong election-year push for an economic revival "built on American manufacturing." But he faces an uphill slog, with little consensus even within his own party on how to do it.

For decades, the United States has gradually shifted from creating goods to providing services. Fifty years ago, a third of U.S. jobs were in manufacturing. Now they account for just 9 percent, according to the Bureau of Labor Statistics. A manufacturing renaissance is being preached both from the White House, on the GOP campaign trail and in Super Bowl commercials.

Economists suggest plans to help boost manufacturing jobs may make more political sense than economic sense.

Obama's prescription for a manufacturing comeback will be fleshed out in the new budget he submits on Monday. He is proposing tax incentives to companies that move their overseas operations back to the United States, along with tax penalties for those that don't, more training and additional education.

But few of his ideas are likely to be enacted in this highly-charged election year.

Since the recession officially ended nearly 2 1/2 years ago, manufacturing production has increased 15 percent, helped by the replacement of aging equipment and software and strong demand from foreign markets. But Federal Reserve Chairman Ben Bernanke told Congress this week that the rebound might not last: "More recently, the pace of growth in business investment has slowed, likely reflecting concerns about both the domestic outlook and developments in Europe."

There are political overtones to Obama's State of the Union appeal for "an economy that's built to last, an economy built on American manufacturing." Polls show support for the president has slipped in Rust Belt battleground states he won in 2008.

Helping manufacturers recover is also being talked up by Republican presidential contenders, who all blame Obama's policies for contributing to the decline.

Former Sen. Rick Santorum wants to eliminate the U.S. corporate tax completely for manufacturers, saying it would help put "men and women in this country who built this country back to work." Mitt Romney's get-tough rhetoric on China appears to be winning attention from workers and former workers in industries that have lost jobs to China. The former Massachusetts governor promises "to make America a more attractive place for manufacturers to invest." Former House Speaker Newt Gingrich says we "badly need to rebuild our manufacturing base," promoting job creation in the defense, energy and space industries.

This heavy attention on manufacturing may be misplaced, economists suggest.

"The vast majority of jobs in the future are going to be created in the service sector, not the manufacturing sector," said Nigel Gault, chief U.S. economist for the consulting firm IHS Global Insight. He said he thought it was "a bit misleading" to focus so much on manufacturing.

"I'm not sure why manufacturing rather than any other industry warrants tax incentives," Gault added.

Obama's plan would:

? Prevent U.S. companies from deducting moving expenses when they shift production overseas, while offering a 20 percent moving-expense tax credit for businesses returning to the U.S.

? Establish a new trade enforcement unit.

? Modify a tax credit for domestic production to make it apply more narrowly to manufacturing.

? Extend $5 billion in new tax credits for clean-energy companies.

? Reduce the nominal maximum 35 percent corporate tax, most likely taking it down to the high 20s. He also may propose a minimum tax on overseas profits.

Obama also has called for a minimum 30 percent tax rate on annual incomes of more than $1 million. Business interests claim it could harm small and medium-sized manufacturers who file tax returns as individuals.

Obama's sharp focus on reviving manufacturing isn't shared by all Democrats.

"Let's not fool ourselves. We're not going to have the kind of manufacturing-based economy we had 30 or 40 years ago," says Robert Reich, labor secretary under President Bill Clinton. And Christina Romer, who headed the president's Council of Economic Advisers from 2009-2010, says it is wrong to suggest that producing "real things" is more important than "services."

"American consumers value health care and haircuts as much as washing machines and hair dryers. Our earnings from exporting architectural plans for a building in Shanghai are as real as those from exporting cars to Canada," she wrote.

Jay Timmons, president of the National Association of Manufacturers, said his organization agrees with Obama in part, that "manufacturers are poised for a renaissance."

"The good news is everybody is talking about manufacturing today. Even on the Super Bowl, you saw ad after ad referring to the promise and the potential of manufacturing in America," he said. The bad news? It is still "20 percent more expensive to manufacture in the United States than it is anywhere else in the world," Timmons said. Obama supporters argue his proposals would help make U.S. factories more competitive.

One much-discussed Super Bowl ad was a Chrysler spot featuring actor Clint Eastwood that celebrates Detroit, suggesting it was near collapse until the residents "all pulled together." Eastwood implores the nation to do the same. Some Republicans called the spot a valentine to Obama's auto bailout. Eastwood insists it was apolitical.

Despite the job losses, the U.S. remains an exporting powerhouse, right behind No. 1 China and vying with Germany for the No. 2 rank. U.S. factories have steadily become more advanced and automated, requiring only a fraction of the workers previously needed.

Yet, China is beginning to take some market share from the U.S. in exporting advanced products and equipment, said a report by the U.S. Business and Industry Council, which represents mainly family-owned companies.

"These findings demolish the still-widespread view that Chinese economic competition can be safely downplayed because it's largely confined to cheap consumer goods," council official Alan Tonelson said.
